Terms of Service / AGB

Applicable to all use of scan.sellereu.com and the SellerEU Scan Chrome extension.

§ 1 Scope

These Terms govern the use of scan.sellereu.com and the SellerEU Scan Chrome browser extension (collectively, "the Service") provided by Bloom & Nourish LTD ("SellerEU Scan", "we"). The Service is offered to business users (B2B) only — SellerEU Scan does not contract with consumers as defined in § 13 BGB.

§ 2 Free tier

The Free tier (online listing audit on this site, plus the free Chrome extension features once published) is provided "as is" without warranty as to accuracy, completeness or timeliness. Free-tier checks are heuristic and do not constitute legal, tax, or compliance advice. Use is at your own risk.

§ 3 Pro / Team subscription

Pro and Team subscriptions are activated by issuing a license key after payment of the corresponding monthly or yearly invoice. The license is non-transferable and bound to the email address provided at purchase. License keys are revocable for material breach of these Terms.

Phase-1 manual invoicing. During the early-access phase, Pro/Team subscriptions are processed manually: you submit the upgrade form, we send a PayPal invoice within 24 working hours, and after payment we issue a license key by email. Automated checkout will be added later.

§ 4 Pricing & payment

Prices are stated on the website. EU B2B reverse-charge applies (0% VAT, recipient self-accounts) when a valid EU VAT ID is provided at quotation. Payment via PayPal Business invoice. No automatic renewals: each invoice covers a single billing period.

§ 5 Cancellation

Because there is no auto-renewal, cancellation is implicit: do not pay the next invoice and your Pro license expires at the end of the current billing period. Already-paid periods are non-refundable except where required by law.

§ 6 Acceptable use

You agree not to:

Reverse-engineer, decompile, or attempt to extract source code of the Chrome extension
Resell, sublicense, or transfer your license key to third parties
Use the Service to violate Amazon's terms of service or any applicable law
Bypass rate limits or attempt to overload the API
Use the Service to scrape Amazon at scale (the Free tool processes one listing per request)

§ 7 Outcome disclaimer

SellerEU Scan provides diagnostic information and AI-generated suggestions. We do not guarantee: marketplace decisions (listing reinstatement, account-health resolution); ranking or sales outcomes; legal compliance — SellerEU Scan's GPSR/EPR check is heuristic and is not a substitute for review by a qualified lawyer.

§ 8 Liability

SellerEU Scan's liability is limited to direct damages caused by gross negligence or intent. For ordinary negligence, liability is limited to typical, foreseeable damages and capped at 12 months of fees paid by the affected user. Liability for indirect damages, loss of profits, marketplace fines or marketplace decisions is excluded to the maximum extent permitted by law. Statutory liability for personal injury or under product liability law remains unaffected.

§ 9 Independence disclosure

SellerEU Scan is independent and not affiliated with Amazon, Google, the Chrome Web Store, eBay, Otto, Kaufland or Zalando. Trademark references are descriptive (nominative fair use).

§ 10 Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Place of jurisdiction for disputes between merchants is London, United Kingdom. The CISG does not apply.

§ 11 Severability

Should any provision be invalid, the remaining provisions remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic intent of the invalid provision.
